CONDITIONS OF SERVICE – Noxio License powered by RocketCyber

1. Purpose
Noxio provides the distributor with a license granting access to the SOC security solution marketed as Noxio and powered by RocketCyber technology. The SOC service is operated by RocketCyber. Noxio does not directly operate the security operations center.

2. Applicable Agreement
Access to and use of the license are subject to these Conditions of Service, to RocketCyber’s terms of service and to any applicable policies of the underlying technology provider. By ordering or activating a license, the distributor and end-user MSPs acknowledge and accept all of these terms. In the event of any conflict, RocketCyber’s terms shall prevail with respect to the operation of the SOC service.

3. License Grant
RocketCyber retains all intellectual property rights in and to the SOC platform. The license granted is limited, non-exclusive, non-transferable and valid only for the paid subscription period. No ownership rights are transferred to the distributor or to MSPs.

4. Role of the Distributor and MSPs
The distributor is responsible for reselling the licenses to MSPs, managing the commercial and contractual relationship with MSPs and ensuring that MSPs comply with these Conditions. MSPs must provide accurate and up-to-date information, maintain reasonable security measures, cooperate in the event of an incident and comply with applicable data protection laws.

5. Use Restrictions
MSPs may not modify, copy or reproduce the platform, perform reverse engineering or attempt to access the source code, nor sub-license the solution other than through the authorized distributor.

6. No Absolute Warranty
The SOC solution is provided as is. It is intended to reduce cybersecurity risks without guaranteeing the absence of attacks, intrusions, data loss or service interruption. Noxio does not guarantee continuous and uninterrupted availability of the service.

7. Third-Party Dependency
The solution relies on RocketCyber’s infrastructure and operations. Any interruption, limitation or failure related to the provider is outside Noxio’s direct control.

8. Limitation of Liability
Noxio shall not be liable for cybersecurity incidents suffered by an MSP or its clients, for indirect damages, loss of profits, loss of business or reputational harm, nor for interruptions attributable to the underlying technology provider. Noxio’s total liability for any claim is limited to the amounts actually paid for the licenses during the twelve (12) months preceding the event giving rise to the claim.

9. Data Processing
Data collected through the SOC platform is processed by RocketCyber in accordance with its own policies. The distributor and MSPs are responsible for ensuring their compliance with applicable data protection laws.

10. Payment, Term and Termination
Licenses remain valid for the paid subscription period. In the event of non-payment or breach of these Conditions, access may be suspended or terminated. Termination results in the immediate cessation of the right to use the service.

11. Modification of Terms
Noxio may modify these Conditions at any time. The version in force is the one published on the Noxio website at the time of use of the service.

12. Governing Law and Jurisdiction
These Conditions are governed by the laws designated by Noxio. Any dispute shall be submitted to the competent courts of the jurisdiction designated by Noxio.
